Terms and conditions

Terms of use of the site and of contracting our services. Read them before purchasing a subscription.

01Acceptance of terms

By accessing or using the IA Vertex site (iavertex.com), or by contracting any of our services, you accept these terms and conditions in full. If you do not agree, you must not use the site or contract our services.

These terms constitute a binding contract between you (the "Client") and IA Vertex (the "Provider").

Minimum age: you must be over 18 to contract our services. If you act on behalf of a company, you declare that you have the authority to do so.

02Services offered

IA Vertex offers four service lines:

2.1 Digital Audit (one-time)

A diagnosis that reviews up to five fronts (SEO, accessibility, competition, digital presence and UX). A report with prioritized findings is delivered. Available in three levels (Diagnosis, 360° and Pro). If the client proceeds with a redesign within the following 60 days, the value of the audit is credited toward that service.

2.2 Site creation (one-time)

Development of a functional website in three formats (Landing, SMB and Professional), with up to three iterations included. Hosting on IA Vertex's infrastructure is included; the domain remains in the client's name. Reference delivery time: 7 business days from demo approval.

2.3 Maintenance (monthly recurring)

Monthly site maintenance service in three levels (Essential, Growth and Strategic), with different scopes of updates, content, SEO and support. No minimum commitment. Monthly, quarterly or annual billing depending on the chosen cycle.

2.4 Platforms and applications (per project)

Custom digital product development: web apps with login, role-based portals, mobile apps and multi-tenant SaaS. Quoted per project by scope and complexity, in four levels. Projects with login include a monthly maintenance plan.

Each service has specific conditions described on the corresponding page and, where applicable, in the signed contract or proposal.

03Maintenance and recurrence

3.1 Activation

Maintenance is activated upon confirming the first payment, on a site already delivered or existing.

3.2 Renewal

Maintenance plans renew automatically at the end of each cycle (monthly, quarterly or annual), using the registered payment method. You can disable renewal by notifying us before the next cycle.

3.3 Plan changes

Upgrading applies immediately and the current cycle balance is prorated. Downgrading applies from the next billing cycle. There is no penalty for changing.

3.4 One-time services

The Audit and Site Creation are one-time services, not subscriptions: they do not renew or charge recurringly.

04Payment and billing

4.1 Payment methods

When we enable online payments, they'll be processed through MercadoPago (Visa, Mastercard and Amex credit and debit cards, Webpay and bank transfer). In the meantime, payment for each service is arranged directly according to the agreed proposal.

4.2 Currency

All prices are expressed in Chilean pesos (CLP) and include VAT where applicable.

4.3 Electronic receipt and invoice

By default we issue an SII electronic receipt. If you need an invoice, provide your company tax ID at the time of contracting. All tax documentation is issued in accordance with current Chilean regulations.

4.4 Late payment

If a maintenance payment fails, we retry for 7 days. After that period, the maintenance service is suspended. You can reactivate it by updating the payment method.

05Cancellation and refund

5.1 Maintenance

No minimum commitment: you can cancel by notifying us before the next billing cycle, with no penalty. The unused balance of quarterly or annual payments is not refunded; you keep the service until the end of the paid period.

5.2 Digital Audit

One-time service. Once the report is delivered, the service is considered provided. If work has not started, a refund of the payment may be requested.

5.3 Site creation

Governed by the project-specific proposal. Generally: non-refundable deposit + balance on delivery. The initial demo is free and with no commitment.

5.4 Audit credit

If you contracted an Audit and proceed with a redesign within the following 60 days, the amount paid for the audit is deducted from the site price.

06Proper use of the service

By contracting our services, you agree to:

  • Use your account personally. The membership is not transferable or shareable.
  • Not download and redistribute our content without written authorization.
  • Not enter illegal, offensive content or content that infringes third-party rights when using our platforms.
  • Not attempt to access parts of the system for which you are not authorized.
  • Respect the rules of the private community (published in Circle upon joining).

Non-compliance may result in immediate suspension of the account without refund, depending on severity.

07Intellectual property

7.1 Our content

All content, frameworks, templates, code and proprietary materials of IA Vertex are our property and are protected by Chilean and international intellectual property laws.

7.2 The license we grant you

Your subscription grants you a personal, non-exclusive, non-transferable license to use the content in your own business. Specifically:

  • ✓ Apply frameworks and templates in your business.
  • ✓ Share with your internal team (subject to plan limits).
  • ✓ Download and save locally for personal use.
  • × Resell, redistribute or publish as your own.
  • × Use in third-party consulting without a commercial license.

7.3 Your content

You retain ownership of the data and content you give us. You grant us a limited license to use it only to provide you the service. Upon cancellation, we delete your data according to the privacy policy.

08Limitation of liability

IA Vertex provides professional services based on proven methodologies, but we do not guarantee specific results. The success of your business depends on multiple factors outside our control (your execution, market conditions, competition, etc.).

Our maximum liability toward you, for any claim, is limited to the amount you paid for our services in the 12 months prior to the event that gave rise to the claim.

We are not liable for indirect, lost-profit or consequential damages.

09Changes to the terms

We may modify these terms at any time. Material changes will be communicated by email with at least 30 days' notice. Your continued use of the service constitutes acceptance of the changes.

If you do not accept the changes, you can cancel your subscription according to the applicable cancellation terms.

10Jurisdiction and applicable law

These terms are governed by the laws of the Republic of Chile. Any dispute that cannot be resolved in good faith between the parties will be submitted to:

  • First instance: voluntary mediation for 30 days.
  • If no agreement: ordinary courts of the city of Santiago, Chile.

This clause does not affect consumer rights guaranteed by Law No. 19.496.
